purchasing PEAI’s products and services

Please read carefully the following Terms & Conditions for entering PEAI website and/or for purchasing PEAI’s products and services:
By accessing this website and/or by purchasing PEAI products or services, you are agreeing to be bound by these website Terms and Conditions, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this web site. The materials contained in this website are protected by applicable copyright and trade mark law.
1. Delivery of publications in electronic format
PEAI electronic publications are delivered to the purchaser in a pdf format via e-mail to an e-mail address provided by the purchaser upon registration once the electronic payment has been accepted.
2. Delivery of printed publications
PEAI will send your printed publication via courier or special delivery/signed for and will not charge any delivery costs to you, unless it has been indicated otherwise. However, PEAI is not responsible for local charges for customs clearance or taxes in your destination country. It is the customer’s responsibility to arrange for any payment relating to local customs charges and taxes, and PEAI will not be responsible for any such charges or related delays in delivering the order to you.
3. Cancellation Policy
PEAI usually provides, depending on the stage the publications is at, detailed tables of contents and/or sample extracts from our publications, so that the customers have a good idea of what they are buying. Refunds are only provided for publications that did not have detailed contents as of the time of purchase. For publications that had detailed contents and/or sample extracts to ensure customers know what they are buying, we cannot provide a refund once a purchase has been made.
You can cancel your subscription at any time during the first three months of the subscription period and receive a proportional (to the number of issues that have not been published yet) refund. A Minimum Retention Fee (“MRF”) equal to the proportion of one issue, is applicable. All cancellation requests need to be sent in writing (fax, mail or e-mail) to the PEAI fax number, address or e-mail address (provided below), respectively, and their receipt needs to be acknowledged by PEAI.
TRAINING COURSES AND OTHER EVENTS
1. Course/Event Fee
The course/event fee entitles the registered delegate to attend a particular event, training course or a separate training module(s), depending on the structure of the course/even, that the delegate has signed up and paid for, and refreshment breaks, including breakfast and/or lunch associated with the course. The fee also includes training materials, which will be either handed out (as a hard copy) upon registration or sent to the delegate (in an electronic format) in advance of the event. For in-house training, all training materials are provided in an electronic format.
2. Discounts and Fee Deductions
Discounts are provide (e.g. multi-delegate discount, early-bird discount) as advertised in the marketing materials (e.g. brochures, e-mail shots, on PEAI website). The discounts may vary from course to course and from location to location.
Payment in full must be made in advance of the event the delegate(s) has/have been registered for. Payments can be made using a credit/debit card (either online via PEAI website or by completed a registration form and returning the form to us using acceptable communication means, i.e. via e-mail, mail or fax). Wire/bank transfers or cash are also acceptable.
If registering ten (10) business days or less prior to the event, delegates MUST pay either using a credit/debit card (online via PEAI website or by completed a registration form and returning the form to us using acceptable communication means, i.e. via e-mail, mail or fax) or via wire/bank transfer, but in any case the payment should reach our bank account at least 5 business days in advance of the event. Failing to comply with this requirement may result in the delegate not been allowed to attend the event.
4. Cancellation Policy
PEAI incurs significant expenses with regards to each delegate’s place, including, but not limited to, venue and catering costs which vary significantly depending on the number of attendees, travel expenses for the tutors, course materials that needs to be ordered in advance and other costs that needs to be advanced by PEAI, plus opportunity costs (i.e. the alternative cost of offering the place to another delegate) due to the size of our courses and the limited places that we usually provide, therefore any cancellation is subject to 100 % (of the course fee) cancellation fee.
However, subject to availability, you can change the date of your course for repeating courses, or use your credits to book a different PEAI course, valid for a period of up to 12 months from the date of the original course that has been cancelled. You can also use your credit against buying PEAI publications or other services, including consultancy services.
Refunds can only be made if you can find a replacement for your delegate. In this case, the refund will be processed within 10 working days after the effective receipt (in our bank account) of the replacing delegate’s course fee.
All cancellations must be made in writing and sent by e-mail, fax or mail to the PEAI e-mail address, fax number or address (provided below), respectively; proof of receipt will be required.
5. Delegate Substitution Policy
Substitutions within one organisation may be arranged as long as PEAI is notified in writing in advance of the course/event. No external substitutions may be made and no registrations may be shared without the express permission of PEAI.
6. Event Postponement or Cancellation
In the unlikely event of PEAI postponing or cancelling an event/training course, delegate payments already received by PEAI will be credited to a future replacement event/training course or another event/training course scheduled by PEAI, on a date convenient to the attendee without any time limitation.
PEAI will confirm that a course will go ahead not less than 5 (ten) business days (by sending an e-mail reminder to the e-mail addresses of the delegates provided by them) before the scheduled time for the event. Delegates are therefore advised not to make any travel or accommodation arrangements until a course is confirmed to run. PEI is not liable for any costs incurred by delegates in the event that a course is postponed or cancelled.
When trainers and/or agenda of a course/event are specified as at the time of the booking, but circumstances beyond the control of the organisers may necessitate substitutions, alterations or cancellations of the trainers and/or the agenda, PEAI will make all reasonable efforts to replace them with ones of similar quality, but if the delegate is not satisfied with the relevant substitution/alteration, the delegate needs to notify PEAI within 5 (five) business days from the announced substitution/alteration, so that he/she is eligible for a rebooking.
8. Force Majeure
If for any reason beyond PEAI's reasonable control (including but not limited to: strikes; acts, regulations or orders of governmental authorities; civil disorder; natural disasters (including a hurricane/typhoon/storm); acts of terrorism; acts of war; acts of God) it is impossible to run a course/event, PEAI will make all efforts to rearrange the event/course within reasonable time, but is not liable for any costs incurred and/or damages sustained by delegates.
9. Travel and accommodation
PEAI is not accountable for booking accommodation and transfers to and from the training venue and will not accept liability for any public or individual transport disruption or deferral. In such circumstances, our standard cancellation policy applies.
1. Payment and charges
You agree to pay any fees at the rates effective when these charges are incurred, usually in advance of receiving the product/service or attending an event/course. You must provide us with complete and accurate payment information. You can pay by either credit or debit card. By submitting credit or debit card payment details to PEAI you warrant that you are entitled to purchase the product or service from PEAI using those payment details. In the case of unauthorised payments, PEAI reserves the right to suspend or terminate your use of the product or service supplied. If PEAI does not receive payment authorisation or any authorisation is subsequently cancelled, PEAI may immediately terminate or suspend your access to this and all other of the Company’s other sites.
2. Copy rights and non-permitted use
You may not use any content on this web site for any unlawful purpose. Except as expressly set out in these terms and conditions, you may not copy, reproduce, publish, broadcast, transmit, modify, adapt, create derivative works of, store, archive, publicly display or in any way commercially exploit any of the content. Without limitation, you may not do any of the following without prior written permission from PEAI (and neither may you allow a third party to do any of the same).
3. Use License
- a.) Permission is granted to temporarily download one copy of the materials (information or software) on PEAI's web site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
i. modify or copy the materials;
ii. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
iii. attempt to decompile or reverse engineer any software contained on Private Equity Accounting Insights Limited's web site;
iv. remove any copyright or other proprietary notations from the materials; or
v. transfer the materials to another person or "mirror" the materials on any other server.
- b.) This license shall automatically terminate if you violate any of these restrictions and may be terminated by Private Equity Accounting Insights Limited at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
The materials on Private Equity Accounting Insights Limited's web site are provided "as is". To the extent allowed by the applicable law, PEAI makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, PEAI does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.
PEAI is not liable for matters beyond its reasonable control. PEAI does not control telephones, third party communications networks (including your Internet Service Provider) or the Internet or the acts of third parties and you agree that PEAI can therefore not be liable for any problem experienced by you on account of faults and failures in such systems.
You agree to indemnify PEAI and their officers, directors and employees, immediately on demand, against all claims, liability, damages, costs and expenses, including legal fees, arising out of any breach of these terms and conditions by you. You shall not enter into any settlement or compromise of any such claim or action without the prior written consent of PEAI and PEAI may, at its sole discretion, assume and control the defence of any such claim or action.
In no event shall PEAI or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on PEAI's site, even if PEAI or a PEAI authorised representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
7. Revisions and Errata
The materials appearing on PEAI's web site could include technical, typographical, or photographic errors. PEAI does not warrant that any of the materials on its web site are accurate, complete, or current. PEAI may make changes to the materials contained on its web site at any time without notice. PEAI does not, however, make any commitment to update the materials.
8. Links to PEAI Web Site
If you would like to link to PEAI site, you must seek PEAI’s written consent first and make it clear that the contents belong to PEAI and display PEAI logo as supplied by PEAI without implying any endorsement by PEAI, unless such is granted, and without any misinterpretation of its relationship with PEAI or infringement of any intellectual property or other right of any person. If PEAI is unhappy with the use of its contents or if you expose its brand in any way, PEAI expressly reserves the right to require that any link in breach of these terms and conditions be removed immediately and to take whatever other actions it deems appropriate.
- Before or at the time of collecting personal information, we will identify the purposes for which information is being collected.
- We will collect and use of personal information solely with the objective of fulfilling those purposes specified by us and for other compatible purposes, unless we obtain the consent of the individual concerned or as required by law.
- We will only retain personal information as long as necessary for the fulfillment of those purposes.
- We will collect personal information by lawful and fair means and, where appropriate, with the knowledge or consent of the individual concerned.
- Personal data should be relevant to the purposes for which it is to be used, and, to the extent necessary for those purposes, should be accurate, complete, and up-to-date.
- We will protect personal information by reasonable security safeguards against loss or theft, as well as unauthorized access, disclosure, copying, use or modification.
- We will make readily available to customers information about our policies and practices relating to the management of personal information.
We are committed to conducting our business in accordance with these principles in order to ensure that the confidentiality of personal information is protected and maintained.
10. Technical Requirements and Site Security
The site is best viewed using the Internet browsers Google Chrome or Mozilla Firefox. Any older browser versions may work but users could have limited browsing experience. Any payment information you send to us over the Internet is encrypted using 128-bit Secure Socket Layer (SSL) technology. SSL is currently the preferred method to securely transfer credit card data over the Internet.
11. Other General Points and Governing Law
These terms and conditions shall be governed by, and construed in accordance with, English law.
To the extent possible in the applicable jurisdiction, you and PEAI irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these terms and conditions, and for those purposes irrevocably submit all disputes to the jurisdiction of the English courts.
These terms and conditions (as amended by PEAI from time to time) contain the entire agreement between you and PEAI relating to the subject matter covered and supersedes any previous agreements, arrangements, undertakings or proposals, written or oral, between you and PEAI in relation to these matters. No oral explanation or oral information given by either party shall alter the interpretation of these terms and conditions. You confirm that, in agreeing to accept these terms and conditions that you have not relied on any representation save insofar as the same has expressly been made a representation in these terms and conditions.
